Bylaws
ARTICLE I
NOMINATIONS
Section 1. All nominations for office shall be received thirty (30) days prior to the opening of the election process. No person may be nominated to an office unless his/her Housing Authority is an active member in good standing. No person may hold more than one (1) office in any given period.
The nomination committee will oversee all election processes.
ARTICLE II
ELECTIONS
Section 1. The election process will take place the first week in July and shall be for the purpose of electing a President, Vice President, Secretary and Treasurer and those at large Board members whose terms are about to expire. All officers will serve for a period of one (1) year. At large Board members will serve for two year staggering terms.
Section 2. Officers and Board Members will be elected based on a simple majority of the votes cast.
Section 3. Vacancies for unexpired terms shall be filled by appointment by the remaining board members within 90 days.
Section 4. The President may make an interim appointment to fill such vacancies until someone is appointed by the board.
Section 5. Newly elected officers shall assume their duties on August 1 following their election and serve for a period of twelve (12) months. Newly elected at large Board members assume their duties August 1 following their election and serve for a period of twenty-four (24) months.
Section 6. Officers and board members can only serve as long as their Housing Authority maintains its membership, and they are still in Housing Authority employment.
ARTICLE III
DUTIES OF OFFICERS
Section 1 - President. It shall be the duty of the President to preside at all regularly scheduled meetings of the organization, to appoint all committees unless otherwise ordered, to decide all points of order which may arise in the meeting, to cast the deciding vote in case of a tie in any meeting of the organization, and to exercise the usual functions of a presiding officer of a deliberate body.
Section 2 - Vice President. The Vice-President shall perform the duties of the President in his/her absence from a meeting, in his/her death, in case of Any disability, or anything else occurs that makes the officer ineligible or unable to serve. The Vice President will assist the President in the performance of his/her duties.
Section 3 - Secretary. The Secretary shall conduct and have custody of the general correspondence of the organization, keep the minutes of the regularly scheduled meetings. The Secretary shall issue all necessary notices of special meetings. The Secretary shall be reimbursed from funds of the organization for all necessary and proper expenses incurred in the performance of his/her duty. The Secretary shall notify all members when dues are payable. The Secretary shall keep a written record of attendance at all meetings of the organization.
Section 4 - Treasurer. The Treasurer shall have charge of all books and papers pertaining to the office, receive all monies due the organization giving receipt for same if requested, and depositing same in a bank or trust company. The Treasurer shall report the condition of the treasury at the annual meeting. The Treasurer shall disburse the funds only on order approved by the President or Vice President. Disbursement of funds will require two (2) of the following four (4) signatures; the President, the Vice President, the Secretary or the Treasurer. The Treasurer shall keep
His/her account books which shall be the property of the organization. The Treasurer will establish an account in a banking institution which is Federally insured. The account will require the signatures of at least two of the Board members for withdrawal. He shall turn over to his successor all monies, records books and other property of the organization that may be in his possessions.
Section 5 - Board. The duties of the Board shall be to see that there are ample funds on hand at all times to cover expenses, to see that all monies are collected, and to directly supervise the operation of the organization.
ARTICLE IV
VOTING
Voting Privileges. Voting privileges will only be extended to member Housing Authorities who are in good standing. Each Housing Authority shall be allowed only one vote.
Voting Methods. Voting, may, at the discretion of the board, be by paper ballot to be delivered by post, or via any of the commonly accepted electronic means.
ARTICLE V
DUES
General (Voting) Membership: The amount of the yearly dues shall be determined by the board. Any increase over 15%, must be voted on by the General Membership.
Associate (Non-Voting) Membership: The amount of the yearly dues shall be determined by the board.
ARTICLE VI
AMENDMENTS
Any proposed amendments to these By-Laws must be submitted to the Secretary for publication. Voting, may, at the discretion of the board, be by paper ballot to be delivered by post, or via any of the commonly accepted electronic means.
ARTICLE VII
ROBERTS RULES
The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the organization in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the organization may adopt. A Parliamentarian shall be appointed by the board to serve for a term of twelve (12) months.
ARTICLE VIII
GENDER
Words of any gender used in these By-Laws shall be held and construed to include any other gender.
